Startup/New Business Company Plan

1. Pre-Incorporation Steps:

  • Business Idea Validation: Before starting the incorporation process, it's essential to validate the business idea. This involves market research, competitor analysis, and potential customer feedback.

  • Business Plan Creation: Draft a detailed business plan outlining the company's vision, mission, financial projections, marketing strategy, and operational plan.

2. Filings with the Registrar of Companies (ROC):

  • Digital Signature Certificate (DSC):

    • Validity: Usually valid for one or two years and can be renewed thereafter.

    • Providers: Licensed Certifying Authorities (CA) like TCS, nCode, etc.

  • Director Identification Number (DIN):

    • Application: Form DIR-3 on the MCA portal.

    • Documents: Passport-sized photo, PAN card, and address proof.

3. PAN & TAN:

  • PAN:

    • Application: Form 49A for Indian citizens.

    • Uses: Required for opening a bank account, tax filings, and financial transactions.

  • TAN:

    • Application: Form 49B.

    • Uses: Mandatory for businesses that deduct or collect tax at source.

4. Drafting of Documents:

  • Memorandum of Association (MOA):

    • Clauses: Name clause, Situation clause, Object clause, Liability clause, Capital clause, and Association clause.

  • Articles of Association (AOA):

    • Content: Rules & by-laws, details about general meetings, board of directors, auditing processes, etc.

  • Co-founders Agreement:

    • Clauses: Roles & responsibilities, equity ownership, salary & compensation, exit strategy, and dispute resolution.

  • Non-Disclosure Agreement (NDA):

    • Purpose: Protect business secrets, client details, and proprietary processes.

  • Transfer of Intellectual Property Agreement:

    • Types: Trademarks, copyrights, patents, and trade secrets.

5. Application Process with MCA:

  1. Name Approval:

    • Criteria: Unique, relevant, and shouldn't infringe on any existing trademarks.

    • Re-submission: If rejected, you can resubmit with different names up to two times.

  2. Filing of Incorporation Application:

    • Attachments: MOA, AOA, declaration by professionals, proof of office address, and affidavits from directors.

  3. Post Incorporation:

    • Opening a Bank Account: Using the Certificate of Incorporation and PAN.

    • GST Registration: If applicable based on the nature of the business and turnover.

6. Documents Required from the Client:

  1. Proof of Registered Office:

    • Rental agreement or sale deed.

    • A recent utility bill.

    • A No Objection Certificate (NOC) from the property owner.

  2. Identity & Address Proof of Directors & Shareholders:

    • Passport, Voter's ID, or Aadhar Card.

    • Driving License, Telephone bill, or Electricity bill.

  3. Specimen Signature (for RoC):

    • Form INC-10.

7. Time Required:

  • Detailed Timeline:

    • DSC & DIN: 1-2 days.

    • Name approval: 2-3 days.

    • Filing of incorporation application: 5-7 days.

    • Certificate of Incorporation issuance: 1-2 days post-application approval.

    • Total of 15-20 days.
